1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", "your") and Unlimited IT Solutions ("Company", "we", "us", "our"), trading as UBOSS, governing your access to and use of the UBOSS platform, website, and related services (collectively, the "Service").
By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use the Service.
2. Description of Service
UBOSS is a cloud-based and self-hostable business management platform that provides tools for:
- Customer relationship management (CRM)
- Invoicing and quoting
- Inventory management
- Workshop and repair tracking
- VoIP calling and communication
- Bank reconciliation
- Reporting and analytics
The Service is provided as a Software-as-a-Service (SaaS) subscription or as a self-hosted licence, depending on the plan selected.
3. Account Registration
To use the Service, you must create an account and provide accurate, complete, and current information. You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorised access to your account
- Ensuring that all users added to your business account comply with these Terms
You must be at least 18 years of age to create an account and use the Service.
4. User Responsibilities
When using the Service, you agree to:
- Use the Service only for lawful purposes and in accordance with these Terms
- Not use the Service to store, transmit, or process any illegal, harmful, or offensive content
- Not attempt to gain unauthorised access to the Service, other accounts, or our systems
- Not interfere with or disrupt the Service or any servers or networks connected to the Service
- Not reverse engineer, decompile, or disassemble any part of the Service (unless you hold a self-hosted licence that expressly permits modification)
- Comply with all applicable laws and regulations, including POPIA
- Ensure the accuracy of data you enter into the Service
5. Payment Terms
5.1 Subscription Fees
Access to the Service requires a paid subscription. Fees are charged in South African Rand (ZAR) and are billed monthly or annually, depending on the plan selected. All prices are inclusive of VAT unless otherwise stated.
5.2 Payment Methods
Payments can be made via EFT, debit order, or other payment methods as made available. You authorise us to charge the applicable fees to your chosen payment method.
5.3 Late Payments
If payment is not received by the due date, we reserve the right to suspend access to the Service after providing reasonable notice. We may charge interest on overdue amounts at the maximum rate permitted by South African law.
5.4 Price Changes
We may adjust subscription fees from time to time. We will provide at least 30 days' written notice before any price increase takes effect. Continued use of the Service after a price change constitutes acceptance of the new pricing.
5.5 Refunds
Subscription fees are generally non-refundable. However, if you cancel within the first 14 days of your initial subscription, you may request a full refund by contacting our support team.
6. Intellectual Property
6.1 Our Intellectual Property
The Service, including all software, code, design, text, graphics, logos, and other content, is owned by Unlimited IT Solutions and is protected by South African and international intellectual property laws. You may not copy, modify, distribute, or create derivative works of any part of the Service without our express written permission.
6.2 Your Data
You retain full ownership of all data you enter into the Service ("Your Data"). We do not claim any ownership rights over Your Data. You grant us a limited licence to host, store, process, and display Your Data solely for the purpose of providing the Service to you.
7. Data Protection
We take the protection of your data seriously. Our handling of personal information is governed by our Privacy Policy and our POPIA Compliance commitments. By using the Service, you consent to the collection and processing of data as described in those documents.
8. Service Availability
We strive to maintain high availability of the Service but do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to:
- Scheduled maintenance (we will provide reasonable advance notice where possible)
- Emergency maintenance to address security or stability issues
- Factors beyond our control (internet outages, natural disasters, etc.)
9. Limitation of Liability
To the maximum extent permitted by South African law:
- The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied.
- We do not warrant that the Service will meet all your requirements, be uninterrupted, timely, secure, or error-free.
- In no event shall Unlimited IT Solutions be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business, or goodwill.
- Our total cumulative liability to you for any claims arising from or related to the Service shall not exceed the total fees paid by you in the twelve (12) months preceding the claim.
10. Indemnification
You agree to indemnify, defend, and hold harmless Unlimited IT Solutions, its directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including legal fees) arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any applicable law or regulation
- Any data you enter into the Service
11. Termination
11.1 Termination by You
You may cancel your subscription and terminate your account at any time by contacting our support team. Upon cancellation, your access to the Service will continue until the end of your current billing period.
11.2 Termination by Us
We may suspend or terminate your access to the Service immediately if:
- You breach any material provision of these Terms
- You fail to pay applicable fees after reasonable notice
- We are required to do so by law
- We reasonably believe your use of the Service poses a security risk
11.3 Effect of Termination
Upon termination, your right to use the Service ceases immediately. We will retain your data for 30 days following termination, during which time you may request an export of Your Data. After 30 days, your data will be permanently deleted.
12. Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of the Republic of South Africa. Any disputes arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of South Africa, specifically the courts of KwaZulu-Natal.
13. Changes to These Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by email or by posting a prominent notice on the Service. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
14. General Provisions
- Entire Agreement: These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Unlimited IT Solutions regarding the Service.
- Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
- Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
- Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
